Terms of Service Agreement of UP 365 Marketing

1. Service Commitment: UP 365 Marketing commits to publishing social media content for the Client within a period of up to 60 days from receiving such content from the Client.

2. Limited Liability for Account Security: UP 365 Marketing is not responsible for the security of the Client’s social media accounts. Any compromise of account information or unauthorized access to the accounts is outside the scope of our responsibility.

3. Role as Third-Party Contractor: UP 365 Marketing acts solely as a third-party contractor managing content on the Client’s social media accounts. We do not assume any operational responsibility for these accounts beyond content management.

4. Credit and Promotion Rights: UP 365 Marketing reserves the right to credit itself for the content management services provided in each post or publication.

5. Use of Subcontractors: UP 365 Marketing is permitted to engage third-party contractors, including non-U.S. citizens, for managing content on the Client’s social media accounts. These subcontractors are also not responsible for any compromise of the Client’s social media accounts.

6. Client’s Responsibility for Content: The Client assumes full responsibility for the content distributed on their social media accounts. This includes the accuracy, truthfulness, and legal compliance of the content.

7. Indemnification: The Client agrees to indemnify and hold harmless UP 365 Marketing and its subcontractors from any claims, losses, damages, or expenses arising from the Client’s content or account security issues.

8. Governing Law: This agreement shall be governed by the laws of Florida.

9. Modification of Terms: UP 365 Marketing reserves the right to modify these terms without notice to the Client.

10. Refund Policy: By using UP 365 Marketing’s services, the Client understands that there are no refunds or returns of any digital or physical deliverable.

11. Acceptance of Terms: By using UP 365 Marketing’s services, the Client agrees to these terms and conditions.
